Windward Lights prices are subject to change without notice. We reserve the right to modify or discontinue items at any time. We also reserve the right to add and discontinue services and offerings, deals, sales, discounts, and special offers without notice at any time. We shall not be liable to clients, members, or any third party for product or price modifications, suspensions or discontinuance of the products or services.
ACCURACY OF BILLING AND ACCOUNT INFORMATION
We reserve the right to refuse any order placed with us for any reason and at any time. We reserve the right to review, assess, and report fraudulent behaviors and activities on our website, via emails, through phone calls, et al.
Please note that we may, at our discretion, limit or cancel quantities purchased by individuals, households, or specific orders. This may include orders placed by the same account, credit card, or orders using the same billing or shipping address (or any combination thereof). You may or may not be notified of canceled orders and fraudulent orders may be reported to the authorities in the appropriate jurisdiction. If an order is changed or canceled, our client manager or a team representative may attempt to reach you by contacting you via e‑mail, telephone, or your address on file from when you made your order. We also reserve the right to limit or cancel orders, that we believe are placed by dealers, resellers, and distributors, without our consent or by fraudulent groups/individuals/online systems/hackers, et al.

INDEMNIFICATION
Client and members of Windward Lights agree to indemnify, defend and hold harmless Windward Lights and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, vendors, subcontractors, suppliers, interns, and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of our Legal Notices and Policies, or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.
ENTIRE AGREEMENT
The failure of Windward Lights to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision. The Legal Notice and Policies or any operating rules posted on our site constitute the entire agreement and understanding between clients/members and Windward Lights and govern your use of our services, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between clients/members and Windward Lights (including, but not limited to, any prior versions of the Legal Notice or Policies). Any ambiguities in the interpretation of these Terms of Service shall not be construed against the drafting party.
GOVERNING LAW
These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of South Carolina in the United States.
